Event Creation Terms and Conditions

Booking
All bookings are made between SeekCity GmbH (SeekCity) and the Client (partner/company who is creating events of the SeekCity Event Creation WebApp (https://seekcity.web.app/)).
A contract between SeekCity and the Client is deemed to be in existence upon the creation of an event by the Client through the SeekCity WebApp.
The contract will be subject to these Event Creation terms and conditions in addition to the general Terms and Conditions for the SeekCity app (https://www.seek-city.com/terms-conditions).
Should there be an inconsistency between the Event Creation Terms and Conditions and the general Terms and Conditions for the SeekCity app, the Event Creation Terms and Conditions shall prevail.

Payment
The full payment for an event created over the SeekCity webapp is due 30 days after the event took place.
Additional participants can be added at any time before the event.
If payment in full has not been made in time, SeekCity reserves the right to collect interest on the amount from the Client.

Prices
All of the prices and charges quoted are given in good faith and are believed to be correct and based upon tariffs and rates of exchange applicable at the date of the invoice.

Exclusion of liability
Neither party accepts liability for circumstances beyond its control e.g. war or terrorist activity, weather conditions, fire, delays, temporary technical, mechanical or electrical breakdowns or transportation problems (if applicable). SeekCity shall be under no liability for death or personal injury or illness suffered by the Client or any participant of their events unless shown to have been caused by negligence on the part of SeekCity or employees. SeekCity shall not be liable in any circumstances for any indirect or consequential loss resulting hereunder.

Marketing
Clients shall ensure that the descriptions of the events are accurate, however, errors do sometimes occur and events may be modified or withdrawn. SeekCity accepts no responsibility for inaccurate marketing beyond its control.
SeekCity will not use photos and videos from a Client’s event for marketing purposes unless specifically given permission by the Client.

Confidential Information/Intellectual Property Protection
The Client agrees and accepts that all information provided by SeekCity related to these Event Creation Terms and Conditions and to the event including without limitation all products, proposals, processes, stories, visuals, plans, ideas, know-how, design rights, trade secrets, market opportunities, and business affairs are the property of SeekCity and no rights of any nature in such information vest in the Client.

Complaints and disputes
In the event of dissatisfaction or complaints, the Client should first notify SeekCity in writing.
Disputes which cannot be settled amicably will be determined by the Court of Zürich to whom the parties give exclusive jurisdiction by this agreement.

General
These terms and conditions shall be governed and construed in accordance with the substantive laws in force in the Canton of Zürich, Switzerland, without giving effect to the principles of conflict of laws thereof and to the extent permitted by applicable law, all parties consent to the jurisdiction of courts situated in Zürich in any action arising under this Agreement.
In the event that for some reason any part or parts of these Event Creation Terms & Conditions shall be held illegal or null and void by any court or administrative body of competent jurisdiction, such determination shall not affect the other provisions in these Terms & Conditions.
